Terms of Service

1. Acceptance of Terms

By accessing or using Adgen (“the Service”), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. Adgen is operated by Capture Motion, MB, a company registered in the Republic of Lithuania (company code 306366609).

2. Use of Service

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service to generate content that is illegal, defamatory, harassing, or infringes the rights of any third party.
• Attempt to reverse-engineer, decompile, or extract the source code of any part of the Service.
• Use automated means to access the Service in a manner that exceeds reasonable use or burdens our infrastructure.
• Resell or sublicense access to the Service without our prior written consent.
• Use generated content to train competing AI models or reproduce the core functionality of the Service.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@tryadgen.com if you suspect unauthorised access to your account. Adgen is not liable for any loss resulting from unauthorised use of your account.

4. Payment Terms

Certain features of the Service require a paid subscription or credit purchase. By subscribing or purchasing credits, you agree to the following:

• Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
• You may cancel your subscription at any time. Access continues until the end of the current billing period.
• Purchased credit packs do not expire and are non-refundable once used.
• We offer a 7-day refund policy for subscriptions where no significant usage has occurred. Contact support@tryadgen.com to request a refund.
• Prices are displayed in USD and may be subject to applicable taxes depending on your jurisdiction.

5. Intellectual Property

You retain ownership of all content you upload to the Service (“Input Content”). You also own the ad creatives, images, copy, and other materials generated by the Service using your inputs (“Output Content”), subject to the following:

• You grant Adgen a limited licence to process your Input Content solely to provide the Service.
• Adgen does not claim ownership of your Output Content. You are responsible for ensuring your use of Output Content complies with applicable laws and third-party rights.
• The Adgen platform, software, trademarks, and underlying AI models remain the exclusive property of Adgen and its licensors.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Adgen and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Service. Our total liability for any claim arising from these Terms shall not exceed the amount you paid to Adgen in the 3 months preceding the claim.

7. Termination

We reserve the right to suspend or terminate your access to the Service at our discretion, with or without notice, if we believe you have violated these Terms or if we are required to do so by law. Upon termination, your right to use the Service ceases immediately. You may request an export of your data by contacting us before your account is closed.

8. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Lithuania and applicable European Union law. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of the Republic of Lithuania, without prejudice to your rights as a consumer under EU law.

9. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by displaying a notice in the application. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
